Merchant and Seller Terms

1. Acceptance
These Merchant and Seller Terms ("Merchant Terms") govern your participation as a merchant or seller ("Merchant," "you") on the Fast marketplace at shop.fast.xyz, operated by Pi Squared Inc., a Delaware corporation ("Company," "we," "us," or "our"). By registering as a merchant, listing products or services, or receiving payments through the Fast marketplace, you agree to these Merchant Terms, together with our Terms of Service, Privacy Policy, Acceptable Use Policy, and Risk Disclosure Notice (collectively, the "Agreement"). If you do not agree, do not participate as a merchant.
2. Merchant Eligibility
2.1 Legal Capacity
You must be a legally incorporated business or a natural person of at least 18 years old with the legal capacity to enter binding contracts.
2.2 Sanctions
You must not be located in, or transacting with parties in, any jurisdiction subject to OFAC sanctions, including Cuba, Iran, North Korea, Syria, the Crimea region, the Donetsk and Luhansk regions, or Russia.
2.3 Accurate Information
You represent that all information you provide to the Company is accurate, complete, and current, and you will update it promptly if it changes.
2.4 Approval
The Company may approve or reject merchant applications at its sole discretion and may revoke merchant status at any time.
3. Merchant Obligations
3.1 Accurate Listings
You are solely responsible for the accuracy, completeness, and legality of your product listings, including descriptions, pricing, images, availability, and shipping information. Misleading or deceptive listings are prohibited.
3.2 Lawful Products and Services
You may only list products and services that are legal in the jurisdictions where you sell and ship them. You may not list counterfeit, stolen, hazardous, or prohibited items. See the Acceptable Use Policy for the full list of prohibited goods and activities.
3.3 Fulfillment
You are responsible for fulfilling all orders promptly and in accordance with your stated shipping and delivery terms. You must ship within the timeframe displayed in your listing or notify the buyer of delays.
3.4 Returns and Refunds
You must clearly state your return and refund policy in your listing. You are responsible for honoring that policy. The Company is not responsible for fulfilling returns or refunds on your behalf.
3.5 Customer Service
You are responsible for responding to buyer inquiries, disputes, and complaints in a timely and professional manner.
3.6 Taxes
You are solely responsible for determining, collecting, reporting, and remitting any applicable taxes, including sales tax, VAT, and customs duties, arising from your sales on the marketplace. The Company does not collect or remit taxes on your behalf unless required by law.
3.7 Compliance
You must comply with all applicable laws and regulations, including consumer protection laws, product safety requirements, export controls, and data protection laws.
3.8 Buyer Data
You may use buyer personal information and order data only as needed for fulfillment, customer support, returns, refunds, disputes, fraud prevention, tax, legal compliance, and other purposes expressly permitted by your agreement with the Company. You may not sell buyer data or use it for unrelated marketing without a valid legal basis and any required consent.
4. Fulfillment via Third-Party Adapters
4.1 Adapter-Originated Orders
If your merchant onboarding agreement supports adapter-originated orders, the Company may facilitate orders through third-party purchasing intermediaries, including Zinc API ("Zinc"), that place and fulfill orders with you using their own payment methods. You agree to process adapter-originated orders only as described in your merchant onboarding agreement or other written agreement with the Company.
4.2 Verification
Orders fulfilled through an agreed adapter path may be accompanied by verification of the marketplace origin. You agree to honor such orders only when properly verified and only if your merchant agreement supports that fulfillment path.
4.3 Intermediary Issues
The Company is not liable for errors, delays, or failures by third-party fulfillment intermediaries. Disputes arising from intermediary-fulfilled orders should be directed to the Company at contact@fast.xyz.
5. Payments
5.1 Payment in fastUSD
The Company may facilitate buyer payments in fastUSD, the token used on Fast for supported transactions. Depending on the checkout and fulfillment path, and subject to your merchant onboarding agreement, applicable law, third-party provider availability, and compliance review, settlement may be made directly to the merchant in fastUSD, USDC, fiat currency, or another agreed method. For adapter-fulfilled or platform-card paths, the Company or its service provider may receive fastUSD and separately place or pay for the upstream order using card-funded checkout, Zinc, or another method agreed between the Company and the merchant. The Company does not guarantee conversion, offboarding availability, settlement timing, liquidity, or any particular value.
5.2 Payment Terms and Risk Acknowledgment
Settlement timing, fees, and currency will be specified in your merchant onboarding agreement or a separate payout schedule. By accepting fastUSD, you acknowledge the Risk Disclosure Notice and understand that conversion, liquidity, timing, offboarding, and availability are not guaranteed. In the absence of a written agreement, the Company's standard payout terms apply.
5.3 Merchant Offboarding
Where supported, merchants that receive fastUSD directly may call AllSet smart contracts to bridge fastUSD to a supported asset on a supported chain at an address they choose, including USDC on supported EVM networks where available. AllSet is smart-contract bridge infrastructure, not a payment or settlement provider. Offboarding may be subject to fees, limits, compliance review, liquidity, network conditions, smart-contract risk, and third-party infrastructure availability.
5.4 Reversals and Chargebacks
If a buyer payment is reversed or disputed, the Company may withhold or claw back the corresponding merchant settlement where legally permitted, contractually permitted, and applicable to the checkout or settlement path used. For direct merchant fastUSD checkout, the merchant remains responsible for handling returns, refunds, disputes, and customer support under its policies and any applicable merchant agreement. For adapter-fulfilled or platform-card paths, reversal, refund, withholding, and clawback rights depend on the merchant onboarding agreement, applicable provider rules, and applicable law. Merchants with excessive dispute rates may be suspended or terminated.
5.5 Fees
The Company may charge marketplace fees on transactions. Current fees will be disclosed at merchant onboarding and may be updated with 30 days' notice.
6. Intellectual Property
6.1 Merchant Content
You represent that you own or have the right to use all content in your listings, including images, descriptions, and trademarks.
6.2 License
By listing on the marketplace, you grant the Company a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your listing content for the purpose of operating and promoting the marketplace.
6.3 Company IP
The Company's intellectual property, including the Fast brand, trademarks, and platform, remains the exclusive property of Pi Squared Inc. You may not use the Company's trademarks or branding without prior written consent.
7. Prohibited Conduct
Merchants may not:

Manipulate prices, reviews, or rankings

Offer or solicit transactions outside the marketplace to avoid fees

List the same product under multiple listings to game search rankings

Collude with buyers to submit false reviews or inflate transaction counts

Use the marketplace to launder money or facilitate sanctioned transactions

Misrepresent the origin, quality, or authenticity of products

Violate the Acceptable Use Policy
8. Suspension and Termination
8.1 Suspension or Termination
The Company may suspend or terminate your merchant account at any time for: violation of these Merchant Terms or the Agreement; excessive disputes or chargebacks; listing prohibited items; legal or regulatory risk; or any other reason at the Company's sole discretion.
8.2 Pending Settlements
Upon termination, pending settlements may be withheld pending resolution of any open disputes. Termination does not relieve you of obligations arising from completed transactions.
9. Relationship of the Parties
Except as expressly stated in a separate written agreement, the Company is a marketplace operator, not a buyer, seller, or party to transactions between merchants and buyers. The Company does not take title to goods. The relationship between the Company and each merchant is that of independent contractors. Nothing in these Merchant Terms creates an employment, agency, partnership, or joint venture relationship.
10. Disclaimer and Limitation of Liability
10.1 As-Is
THE MARKETPLACE IS PROVIDED "AS-IS." THE COMPANY MAKES NO WARRANTIES REGARDING BUYER DEMAND, SALES VOLUME, PLATFORM UPTIME, OR MERCHANT REVENUE.
10.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY TO ANY MERCHANT FOR ALL CLAIMS IS LIMITED TO THE FEES PAID BY THE MERCHANT TO THE COMPANY IN THE 3 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and affiliates from all claims, damages, liabilities, and expenses, including attorneys' fees, arising from your listings, your products or services, your fulfillment obligations, or your violation of these Merchant Terms.
12. Modifications
The Company may modify these Merchant Terms at any time. Material changes will be communicated with 30 days' notice via email or platform notification. Continued participation after the notice period constitutes acceptance.
13. Governing Law and Disputes
These Merchant Terms are governed by Delaware law. Disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Champaign County, Illinois. The Federal Arbitration Act governs this arbitration agreement.
