FAST TERMS OF SERVICE

1. ACCEPTANCE
These Terms of Service ("Terms") govern use of Fast, a decentralized payment and settlement network operated by Pi Squared Inc., a Delaware corporation ("Company," "we," "us," or "our"). By accessing or using Fast ("Network"), you ("User," "you") agree to these Terms. If you do not agree, do not use the Network.
2. ELIGIBILITY
2.1 You must be at least 18 years old or the age of majority in your jurisdiction.
2.2 Geographic Restrictions. Fast is not available to residents or entities in Cuba, Iran, North Korea, Syria, the Crimea region, the Donetsk and Luhansk regions, Russia, or any jurisdiction subject to OFAC sanctions.
2.3 Sanctioned Persons. You represent that you are not listed on the OFAC SDN List or any equivalent sanctions list, and you will not use Fast in connection with sanctioned activities.
2.4 Geoblocking. The Company employs geoblocking and IP filtering. You agree not to circumvent these measures. Unauthorized circumvention results in permanent termination.
3. SERVICE DESCRIPTION
3.1 Fast is a high-throughput, decentralized payment and settlement network.
3.2 Non-Custodial. The Company does not custody, hold, control, or transmit user funds. The Company does not manage private keys or seed phrases. The Company is not a money transmitter, payment processor, or custodian.
3.3 All interactions are initiated by users through non-custodial wallets. Users retain sole control of their private keys.
3.4 Fees. The Company currently subsidizes transaction fees. This subsidy may be discontinued or replaced with fee-based models at any time without guarantee.
3.5 No Native Token. Fast operates without a native utility token at mainnet launch.
4. ASSUMPTION OF RISK
4.1 You acknowledge and assume all risks of blockchain technology, including smart contract vulnerabilities, network attacks, price volatility, private key loss, irreversible transactions, and regulatory changes.
4.2 Fast is provided without guarantee of uninterrupted service. The Network may experience downtime, latency, or unavailability.
4.3 The Company is not liable for losses from network downtime, performance issues, or transaction delays.
5. DISCLAIMERS AND LIMITATION OF LIABILITY
5.1 AS-IS. Fast is provided "AS-IS" and "AS-AVAILABLE" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
5.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including lost profits, lost data, or business interruption.
5.3 Damage Cap. The Company's total aggregate liability for all claims arising from these Terms or your use of Fast is limited to the greater of: (i) $100 USD, or (ii) fees paid by you to the Company in the 12 months preceding the claim.
5.4 If you are dissatisfied with the Network, your exclusive remedy is to stop using it.
6. PROHIBITED ACTIVITIES
You agree not to use Fast for: illegal activities; money laundering or sanctions evasion; terrorist financing; fraud or misrepresentation; ransomware payments; unauthorized access to systems; malware distribution; market manipulation, spoofing, or wash trading; circumvention of geoblocking; or reverse-engineering of proprietary code. See the Acceptable Use Policy for the full list of prohibited activities.
The Company reserves the right to monitor for violations, investigate, terminate access, and cooperate with law enforcement.
7. INTELLECTUAL PROPERTY
All intellectual property in Fast (software, protocols, documentation, trademarks) remains the exclusive property of Pi Squared Inc. You receive a limited, non-exclusive, revocable license to use Fast for lawful purposes consistent with these Terms. You may not copy, modify, reverse-engineer, or create derivative works.
8. MODIFICATION OF TERMS
The Company may modify these Terms at any time. Material changes will be posted with reasonable notice. Your continued use after modification constitutes acceptance. The Company may also modify, suspend, or discontinue any aspect of Fast.
9. TERMINATION
9.1 You may stop using Fast at any time.
9.2 The Company may restrict, suspend, or terminate your access without notice if you breach these Terms, violate applicable law, are in a sanctioned jurisdiction, or pose a legal, security, or operational risk.
9.3 Upon termination, all licenses expire. You remain bound by indemnification and liability provisions.
10. INDEMNIFICATION
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and affiliates from all claims, damages, liabilities, and expenses (including attorneys' fees) arising from your use of Fast, violation of these Terms, or violation of any third-party rights.
11. ARBITRATION AND CLASS ACTION WAIVER
11.1 Mandatory Arbitration. Any dispute arising from these Terms or your use of Fast shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator.
11.2 The arbitration shall be seated in Champaign County, Illinois. Delaware law governs these Terms; the Federal Arbitration Act governs this arbitration agreement.
11.3 Class Action Waiver. ALL CLAIMS SHALL BE BROUGHT INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR COLLECTIVE PROCEEDINGS. If this waiver is found unenforceable, the entire arbitration agreement is void.
11.4 Exceptions. Claims for injunctive relief for IP infringement or breach of confidentiality, and small claims court actions brought individually, are excluded from mandatory arbitration.
11.5 Costs. The Company pays AAA filing fees and arbitrator compensation for non-frivolous claims you initiate.
11.6 Opt-Out. You may opt out within 30 days of first accepting these Terms by written notice to:

12. GOVERNING LAW
These Terms are governed by Delaware law. For disputes not subject to arbitration, you submit to the exclusive jurisdiction of federal and state courts in Delaware.
13. PRIVACY
Fast collects minimal personal information. Transaction data settled through Fast may be recorded on underlying public ledgers and may be publicly visible. See our Privacy Policy for details. In case of conflict, the Privacy Policy governs data practices.
14. FORCE MAJEURE
The Company is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, cyber attacks, government action, blockchain network failures, or third-party infrastructure failures.
15. GENERAL PROVISIONS
15.1 Severability. If any provision is unenforceable, it shall be modified to the minimum extent necessary or severed. If the class action waiver (Section 11.3) is unenforceable, the entire arbitration agreement is void.
15.2 Entire Agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement.
15.3 No Waiver. Failure to enforce any provision is not a waiver.
15.4 Survival. Sections 5, 7, 10, 11, 12, 14, and 15 survive termination.
