Terms of Service

1. Acceptance
These Terms of Service ("Terms") govern your use of Fast, including the Fast App at app.fast.xyz, the Fast marketplace at shop.fast.xyz, the Fast SDK, and all related services (collectively, the "Services") operated by Pi Squared Inc., a Delaware corporation ("Company," "we," "us," or "our"). By accessing or using any of the Services, you ("User," "you") agree to these Terms, together with our Privacy Policy, Acceptable Use Policy, Risk Disclosure Notice, Cookie Policy, and the Electronic Communications and E-Sign Consent in Section 9. If you do not agree, do not use the Services.
2. Eligibility
2.1 Age
You must be at least 18 years old or the age of majority in your jurisdiction.
2.2 Geographic Restrictions
The Services are not available to residents or entities in Cuba, Iran, North Korea, Syria, the Crimea region, the Donetsk and Luhansk regions, Russia, or any jurisdiction subject to OFAC sanctions.
2.3 Sanctioned Persons
You represent that you are not listed on the OFAC SDN List or any equivalent sanctions list, and you will not use the Services in connection with sanctioned activities.
2.4 Geoblocking
The Company employs geoblocking and IP filtering. You agree not to circumvent these measures. Unauthorized circumvention results in permanent termination.
3. Service Description
3.1 Fast App
The Fast App (app.fast.xyz) is a web-based application that allows you to create an account using passkey authentication (WebAuthn), create and use Fast wallets, hold and transfer fastUSD, and interact with the Fast network. Users may obtain fastUSD by acquiring or transferring supported assets on supported chains and, where supported, using AllSet smart contracts to bridge those assets to a user-controlled Fast address as described below.
3.2 Fast Network / FastSet
FastSet is a payment and settlement network that currently uses an initial limited operator/validator set, which may expand over time. User wallets and supported-chain addresses are user-controlled. When you call AllSet smart contracts to bridge assets into or out of Fast, assets may be held by AllSet smart contracts during the bridge process. The Company does not control private keys for user-controlled wallets or user-controlled transactions. Some Services, including marketplace checkout, refunds, transaction records, support, or provider integrations, may be app-mediated or involve Company or service-provider systems as described in these Terms.
3.3 Fast Marketplace
The marketplace at shop.fast.xyz allows you to purchase goods from third-party merchants using fastUSD or other supported checkout methods where available. The Company is not the seller of goods available through the marketplace. See Section 8 for marketplace terms.
3.4 Fast SDK
The Fast SDK is a developer toolkit for building applications that interact with the Fast network and Services. Use of the SDK is subject to its applicable license terms in addition to these Terms.
3.5 Fees
The Company currently subsidizes certain transaction fees. This subsidy may be discontinued or replaced with fee-based models at any time without guarantee.
4. fastUSD
4.1 Nature of fastUSD
fastUSD is the token used on Fast for supported transactions. fastUSD is not a bank deposit, stored-value account, internal Company credit, e-money, security, investment product, legal tender, or guaranteed claim against the Company. fastUSD is not FDIC-insured, not NCUA-insured, not SIPC-protected, and carries the risks described in the Risk Disclosure Notice, including risks related to third-party providers, USDC, supported EVM networks, AllSet smart contracts, liquidity, network availability, regulatory changes, and the possibility that fastUSD may not maintain any particular value, liquidity, transferability, or offboarding availability.
4.2 Onboarding
You may obtain fastUSD by acquiring or transferring a supported asset on a supported chain, then calling AllSet smart contracts to bridge that asset to a user-controlled Fast address where supported. Coinbase, Stripe, Swapper Finance, or other supported third-party providers may help you acquire supported assets, but AllSet is not a payment, onboarding, KYC, or swap provider. AllSet is a set of smart contracts that links Fast with supported chains. Onboarding may involve USDC on supported EVM networks or other supported assets or networks identified by the Services. Supported assets, chains, providers, fees, limits, and availability may vary and may change over time.
Third-party providers, not the Company, handle fiat, card, bank, crypto, KYC or identity checks they require, payment processing, fees, declines, holds, chargebacks, reversals, refunds, and settlement under their own terms. AllSet smart contracts process bridge-related smart-contract actions where supported and may hold assets during the bridge process. You are solely responsible for confirming addresses, networks, assets, amounts, fees, permissions, and transaction details before authorizing or signing any transaction.
4.3 Use of fastUSD
fastUSD may be used for supported transactions through the Services, supported integrations, and other supported network uses, including purchases through shop.fast.xyz, transfers to other Fast users, and funding Agent Wallets or other delegated wallets or app-mediated wallet features. The Company may impose transaction, wallet, geographic, compliance, or risk limits where technically and legally available.
4.4 Offboarding
Where supported, you may call AllSet smart contracts to bridge fastUSD to an address you choose on a supported chain as a supported asset, including USDC on supported EVM networks where available. Offboarding availability, timing, fees, liquidity, and success depend on AllSet smart contracts, supported assets and chains, compliance controls, third-party infrastructure, and the address, network, asset, and transaction details you provide. The Company does not guarantee uninterrupted offboarding availability, any particular processing time, any particular conversion result, or that any signed on-chain or AllSet bridge transaction can be reversed. Provider payment reversals remain subject to applicable law and the relevant provider's terms.
4.5 Payment Disputes and Reversals
You must not fraudulently or abusively dispute payments you authorized with third-party onboarding, payment, or swap providers. Any dispute rights remain subject to applicable law and the applicable provider's terms. If a provider, bank, merchant, or fulfillment partner reports fraud, reversal abuse, nonpayment, or other risk, the Company may restrict Services, disable funding or checkout methods, suspend or terminate accounts, withhold Company-controlled refunds or app-mediated credits where legally permitted, and seek recovery of amounts owed. The Company does not represent that it can debit, freeze, reverse, or recover self-custodied fastUSD except where technically and legally available.
4.6 Transaction History
The Company may make transaction history for app-mediated fastUSD activity available through the Fast App. You are responsible for reviewing transaction details and reporting unauthorized account activity promptly. Public blockchain transactions may be visible through network explorers and are generally irreversible.
5. Passkey Authentication
5.1 Passkeys
You authenticate to the Fast App using passkeys (WebAuthn). The Company stores your public key credential. Your private key material never leaves your device.
5.2 Device Security
You are responsible for the security of your devices and passkeys. The Company cannot recover your account if you lose access to all registered passkeys.
5.3 Biometrics
The Company does not collect, store, or process biometric data. Biometric verification, such as fingerprint or face recognition, occurs entirely on your device and is controlled by your device's operating system.
6. Agent Wallets
6.1 Creation
The Fast App allows you to create delegated AI agent wallets ("Agent Wallets") funded with fastUSD from your primary Fast wallet. Each Agent Wallet operates within scope and permissions you explicitly delegate.
6.2 User Responsibility
You are solely responsible for all actions taken by your Agent Wallets. The Services are designed to limit Agent Wallet activity to the scope and permissions you explicitly delegate. The Company does not guarantee that every third-party agent, integration, or user instruction will behave as you intended.
6.3 Funding
Transfers from your primary Fast wallet to an Agent Wallet are subject to the same terms as other fastUSD transactions. You may use supported features to revoke agent access or transfer remaining fastUSD from an Agent Wallet, subject to pending transactions, network availability, and technical or legal limitations.
6.4 No Company Liability
The Company does not control, monitor, or guarantee the behavior of third-party AI agents. The Company is not liable for losses resulting from agent actions, whether or not those actions were within the scope you intended to delegate.
7. Third-Party Providers and Smart-Contract Systems
7.1 Provider and Smart-Contract Terms
Fiat, card, bank, crypto, onboarding, payment, or swap transactions may be processed by Coinbase, Stripe, Swapper Finance, or other third-party providers, as applicable. Bridge or offboarding actions may be processed by AllSet smart contracts or other supported protocols or smart contracts, as applicable. By initiating provider transactions, you agree to the applicable provider's terms of service and privacy policy in addition to these Terms. By initiating smart-contract interactions, you assume the related smart-contract, network, address, asset, and transaction risks.
7.2 Provider and Smart-Contract Responsibility
The Company is not responsible for third-party provider processing times, declines, holds, fees, exchange rates, slippage, compliance reviews, outages, or errors, or for AllSet or other smart-contract or protocol availability, behavior, pauses, upgrades, or errors. Support issues for third-party purchases, transfers, identity checks, or payments may need to be directed to the applicable provider.
7.3 Accurate Information
You represent that you are authorized to use any payment method, wallet, address, or account you provide and that all payment, wallet, address, and transaction information is accurate.
7.4 On-Chain Risk
On-chain transfers and bridge transactions are generally irreversible and may be subject to network fees, delays, congestion, failed transactions, asset-transfer, protocol, smart-contract, supported-chain, or bridge risk.
8. Marketplace (shop.fast.xyz)
8.1 Third-Party Merchants
The marketplace connects you with third-party merchants. The Company is not the seller and makes no representations or warranties regarding merchant products, pricing, quality, availability, or delivery.
8.2 Transactions
Marketplace purchases may be paid in fastUSD or through other supported checkout methods. All sales are between you and the merchant. The Company facilitates discovery, routing, payment, or checkout handoff as applicable but is not the seller of the goods.
8.3 Fulfillment Paths and Third-Party Services
Marketplace orders may be fulfilled through different paths depending on the merchant and checkout method:
(a) Adapter-fulfilled or platform-card orders: The Company or its service provider may receive your fastUSD payment and separately use a third-party purchasing intermediary, which may include Zinc API ("Zinc"), card-funded checkout, or another method, to place and fulfill your order with the upstream merchant. The upstream merchant may not receive fastUSD. When this path is used, your shipping information, order details, and other information necessary to complete the purchase are shared with the fulfillment intermediary and the upstream merchant. By placing an order through this path, you agree to be bound by the applicable fulfillment intermediary's terms and privacy policy, where presented or otherwise applicable, in addition to these Terms.
(b) Direct merchant fastUSD checkout: If the checkout flow identifies a merchant-controlled Fast receiving wallet, you may pay fastUSD directly to that merchant. In that case, the merchant receives the fastUSD payment and is responsible for fulfillment, returns, refunds, taxes, and customer support under its own policies and any applicable merchant agreement. The merchant may call AllSet smart contracts to bridge fastUSD out of Fast where supported.
(c) Self-checkout or handoff: For certain merchants, you may be directed to complete checkout directly with the merchant outside Fast payment rails. In this case, you pay the merchant through the merchant's own checkout and payment processing, and you are subject to that merchant's terms, pricing, policies, and payment processing. The Company facilitates discovery, routing, or checkout handoff but is not a party to the direct transaction.
The applicable fulfillment path will be indicated at checkout. The Company may change the fulfillment path for any merchant at any time.
8.4 Returns and Disputes
Product returns, refunds, and disputes are governed by the applicable merchant's policies and the checkout path used. For adapter-fulfilled or platform-card orders, contact us at contact@fast.xyz; the Company or its service provider will make reasonable efforts to coordinate with the fulfillment partner and, where an order cannot be fulfilled, to refund or reverse the associated app-mediated fastUSD payment where technically available, legally permitted, and within the Company's or service provider's control. For direct merchant fastUSD checkout, the merchant is responsible for returns, refunds, and disputes under its policies and any applicable merchant agreement. For self-checkout or handoff, returns, refunds, disputes, and chargebacks are handled by the merchant or the merchant's payment provider under their terms. Except as stated in this Section 8.4 or required by law, the Company has no obligation to issue refunds for merchant transactions.
8.5 Prohibited Purchases
You may not use the marketplace to purchase items that violate these Terms, the Acceptable Use Policy, or applicable law.
9. Electronic Communications and E-Sign Consent
9.1 Consent to Electronic Communications
By using the Services, you consent under the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) to receive all communications from the Company electronically, including account notifications, transaction confirmations, legal notices, policy updates, and any other disclosures required by law. You agree that electronic communications satisfy any legal requirement that communications be provided in writing.
9.2 Scope
This consent applies to all communications in connection with the Services, including these Terms, the Privacy Policy, the Acceptable Use Policy, the Risk Disclosure Notice, the Electronic Communications and E-Sign Consent in this Section 9, and any future agreements or notices.
9.3 Hardware and Software Requirements
To access electronic communications you need: a device capable of accessing the internet; a current web browser (Chrome, Safari, Firefox, or Edge - current or prior major version); sufficient storage to save or print documents; and a PDF reader for any PDF documents we provide.
9.4 Right to Withdraw
You may withdraw this consent at any time by contacting contact@fast.xyz with the subject line "Withdraw E-Sign Consent." Withdrawal may result in termination of your account, as the Company cannot operate the Services without the ability to provide legally required disclosures electronically. Withdrawal does not affect the validity of electronic communications received before withdrawal.
9.5 Paper Copies
You may request a paper copy of any electronic communication by contacting contact@fast.xyz. The Company may charge a reasonable fee for paper copies.
10. Assumption of Risk
10.1 General Blockchain Risk
You acknowledge and assume all risks associated with blockchain technology, including smart contract vulnerabilities, network attacks, price volatility, irreversible transactions, and regulatory changes.
10.2 Specific fastUSD Risks
You acknowledge the specific risks described in the Risk Disclosure Notice, including that fastUSD is not FDIC-insured, is not a bank deposit, and is subject to risks involving third-party providers, USDC, supported EVM networks, AllSet smart contracts, assets held by AllSet during bridging, network availability, liquidity, regulatory changes, and offboarding availability.
10.3 Service Availability
The Services are provided without guarantee of uninterrupted availability. The Services may experience downtime, latency, or unavailability.
10.4 No Liability for Certain Failures
The Company is not liable for losses from downtime, performance issues, transaction delays, or third-party service failures.
11. Disclaimers and Limitation of Liability
11.1 As-Is
The Services are provided "AS-IS" and "AS-AVAILABLE" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including lost profits, lost data, or business interruption.
11.3 Damage Cap
The Company's total aggregate liability for all claims arising from these Terms or your use of the Services is limited to the greater of: (i) $100 USD, or (ii) fees paid by you to the Company in the 12 months preceding the claim. For clarity, fastUSD balances, payments, or assets are not fees paid to the Company.
11.4 Exclusive Remedy
If you are dissatisfied with the Services, your exclusive remedy is to stop using them.
12. Prohibited Activities
You agree not to use the Services for: illegal activities; money laundering or sanctions evasion; terrorist financing; fraud or misrepresentation; ransomware payments; unauthorized access to systems; malware distribution; market manipulation, spoofing, or wash trading; circumvention of geoblocking; chargeback fraud or abuse; reverse-engineering of proprietary code; or any activity prohibited by the Acceptable Use Policy.
The Company reserves the right to monitor for violations, investigate, terminate access, and cooperate with law enforcement.
13. Intellectual Property
All intellectual property in the Services, including software, protocols, documentation, and trademarks, remains the exclusive property of Pi Squared Inc. You receive a limited, non-exclusive, revocable license to use the Services for lawful purposes consistent with these Terms. You may not copy, modify, reverse-engineer, or create derivative works, except as expressly permitted by the Fast SDK license.
14. Modification of Terms
The Company may modify these Terms at any time. Material changes will be posted with reasonable notice. Your continued use after modification constitutes acceptance. The Company may also modify, suspend, or discontinue any aspect of the Services.
15. Termination
15.1 User Termination
You may stop using the Services at any time. To close your account, contact us at contact@fast.xyz.
15.2 Company Termination
The Company may restrict, suspend, or terminate your access without notice if you breach these Terms, violate applicable law, are in a sanctioned jurisdiction, or pose a legal, security, or operational risk.
15.3 Effect of Termination
Upon termination, all licenses expire. Any Company-controlled refunds, app-mediated credits, or pending transactions at the time of termination will be handled in accordance with the Company's then-current account closure procedures. The Company reserves the right to withhold Company-controlled amounts where required by law or pending investigation, but does not represent that it can recover self-custodied fastUSD. You remain bound by indemnification and liability provisions.
16. Indemnification
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and affiliates from all claims, damages, liabilities, and expenses, including attorneys' fees, arising from your use of the Services, your Agent Wallets' actions, violation of these Terms, or violation of any third-party rights.
17. Arbitration and Class Action Waiver
17.1 Mandatory Arbitration
Any dispute arising from these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator.
17.2 Seat and Law
The arbitration shall be seated in Champaign County, Illinois. Delaware law governs these Terms; the Federal Arbitration Act governs this arbitration agreement.
17.3 Class Action Waiver
ALL CLAIMS SHALL BE BROUGHT INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR COLLECTIVE PROCEEDINGS. If this waiver is found unenforceable, the entire arbitration agreement is void.
17.4 Exceptions
Claims for injunctive relief for IP infringement or breach of confidentiality, and small claims court actions brought individually, are excluded from mandatory arbitration.
17.5 Costs
The Company pays AAA filing fees and arbitrator compensation for non-frivolous claims you initiate.
17.6 Opt-Out
You may opt out within 30 days of first accepting these Terms by written notice to:

Include your name, account identifier, and a clear opt-out statement.
18. Governing Law
These Terms are governed by Delaware law. For disputes not subject to arbitration, you submit to the exclusive jurisdiction of federal and state courts in Delaware.
19. Privacy
The Company collects and processes personal information as described in our Privacy Policy. In case of conflict between these Terms and the Privacy Policy regarding data practices, the Privacy Policy governs.
20. Force Majeure
The Company is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, cyber attacks, government action, blockchain network failures, payment processor outages, or third-party infrastructure failures.
21. General Provisions
21.1 Severability
If any provision is unenforceable, it shall be modified to the minimum extent necessary or severed. If the class action waiver in Section 17.3 is unenforceable, the entire arbitration agreement is void.
21.2 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Risk Disclosure Notice, the Electronic Communications and E-Sign Consent in Section 9, and Cookie Policy, constitute the entire agreement.
21.3 No Waiver
Failure to enforce any provision is not a waiver.
21.4 Assignment
You may not assign these Terms. The Company may assign these Terms in connection with a merger, acquisition, or sale of assets.
21.5 Survival
Sections 4 (fastUSD), 10, 11, 13, 16, 17, 18, 20, and 21 survive termination.
